Terms of Service
These Terms of Service ("Terms") govern your use of ionexai-mcp, the read-only Model Context Protocol (MCP) server operated by ionexai.com ("we", "us"). By requesting an API key or making any call to the service, you agree to these Terms. If you do not agree, do not use the service.
1. The service
ionexai-mcp exposes derived market-intelligence data — entity relationship graphs, provenance paths, confluence scores, options posture summaries, insider and 13F context, macro posture, and event-exposure evidence from SEC filings. All data is derived and aggregated from public sources and is provided for educational and research use only. We do not redistribute raw real-time quotes.
2. Not investment advice
Nothing the service returns is investment, legal, tax, or financial advice. We provide no recommendations, make no solicitation to buy or sell any security, and have no fiduciary or advisory relationship with you. All decisions you make using the data are your own, at your own risk. Consult a licensed professional before making investment decisions.
3. Your license
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the service through your own API key and use the responses for internal educational and research purposes only.
4. Acceptable use
The value of the service is in the underlying datasets. To protect them, you agree that you will not, directly or indirectly:
- perform bulk extraction, scraping, systematic downloading, crawling, or enumeration of the data;
- reconstruct, replicate, or attempt to reconstruct the underlying datasets, in whole or in part, from responses;
- redistribute, resell, sublicense, publish, or otherwise make responses available to any third party;
- use the service or its responses to build, train, or improve any dataset, product, or service that competes with the service;
- share, transfer, sell, or expose your API key to any third party; keys are non-transferable and tied to your account.
Rate limits and quotas are part of this license. Per-key rate limits and daily quotas are enforced. Any attempt to circumvent them — including key rotation, creating or using multiple accounts, coordinated access across keys, or automated enumeration — is a material breach of these Terms and is grounds for immediate suspension or termination without refund.
5. Monitoring
We log each authenticated call (key identifier, tool name, timestamp, success flag, and latency) for billing, quota enforcement, and abuse detection, as described in our Privacy Policy, and may suspend or throttle access we reasonably believe violates these Terms.
6. No warranty
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. The data is derived from third-party public sources and may be delayed, incomplete, inaccurate, or wrong, and the service may be interrupted. You are responsible for independently verifying any data before relying on it.
7. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or trading or investment losses arising from your use of the service. Our total aggregate liability for any claim will not exceed the amount you paid us in the three months preceding the claim.
8. Fees and quotas
Access is provided through paid plans with associated rate limits and quotas. Exceeding your quota may result in throttling or additional charges as described at purchase. Fees are non-refundable except where required by law.
9. Changes
We may modify, add, remove, or discontinue any part of the service — including tools, data coverage, quotas, and pricing — at any time, and may update these Terms by posting a revised version with a new effective date; continued use constitutes acceptance.
10. Termination
You may stop using the service and close your account at any time. We may suspend or terminate your access immediately for breach, suspected abuse, or non-payment. On termination, your license and API keys are revoked; Sections 2, 4, 6, 7, and 11 survive.
11. Governing law
These Terms are governed by the laws of the United States, without regard to its conflict-of-laws rules. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising from these Terms or the service.
